Written 7 November 2026 · Thai Stock Case File #4 · case TH-2026-W45-D · based on the company's filings, SET announcements and Opportunity Day recordings as of that date — the Q3 2026 statements are unreviewed

TMBThanachart Bank (TTB), a commercial bank in Thailand's SET50 index, first nine months of 2026: profit after tax is higher than profit before tax because the tax line is negative — when that tax benefit runs out, how much profit goes, and how much can the share buyback offset?

TTB · FY2026 Q3: "At the end of September 2026, the Bank has the remaining tax benefit of THB2.0 billion to be subsequently recognized within 2028. The recognition will not be on a straight-line basis but will be subject to future net profit stream."

— MD&A Q3 2026, page 2 · original filing (SEC)

That sentence has appeared on page 2 of every TTB MD&A since the end of 2023, with a smaller number each time. This case file reads it across twelve quarters, checks it against the tax line, sets it beside the tax other banks pay, and then listens to what management and one investor said about it at Opportunity Day. Every number has a page or a minute; where the documents stop, I say so.

The short version

  • TTB paid negative tax in 9M26. Profit before tax 15,412 million baht, tax line −723, profit for the period 16,134. Three other banks paid 18–20% of pre-tax profit over the same nine months (our arithmetic).
  • The benefit is nearly used up. The remaining balance went 15.5 → 10.6 → 5.7 → 2.0 billion baht (Dec 2023 → Sep 2026): 4.9 billion a year in 2024 and in 2025. Management spoke of about 4,000 million a year; the documents point to about 4.9 billion. If the fifth buyback fills, the share count falls 15.81% in total.
  • What is still unknown: which quarter the benefit actually ends, whether the fifth buyback fills at 2.60 baht, and the size of the new income that is meant to offset it.

The question

TTB's profit after tax is higher than its profit before tax, because the tax line is negative. When the tax benefit runs out, how much profit goes — and how much can the share buyback offset?

Why now: the Q3 2026 MD&A was filed on 20 October 2026, the Opportunity Day was held on 27 October, and the fifth buyback programme accepts shares from 16 to 27 November 2026.

What this file covers, stated up front:

  • TTB's MD&As in English, as filed: Q3 2026 (pages 2, 4, 10, 11, 24), Q2 2026 (page 2), FY2025 (pages 2, 3), FY2024 (pages 2, 3), FY2023 (page 2), plus the remaining-balance sentence on page 2 of every quarterly MD&A from December 2023 to September 2026. Figures in million baht unless stated. The Q3 2026 statements are unreviewed; the reviewed set is not out as of this writing.
  • Two Opportunity Day recordings — the Stock Exchange of Thailand's quarterly session where management answers investors on the record: Q1 2026 (27 April 2026) and Q3 2026 (27 October 2026), plus the Q3 slides. TTB presented in Thai; spoken words are an AI transcript, checked with a second, independent speech model. I use only passages where both agree, and the English is our translation.
  • Two SET announcements (26 October and 19 August 2026) and two Form 246-2 filings.
  • The Q3 2026 MD&As of KTB, KKP and TISCO, for one narrow question: what share of pre-tax profit went to tax. Not a ranking.
  • It does not cover share price, valuation or forecasts.

The 2026 loan-growth target on the Q3 Opportunity Day slides is "Approx. 0%–2%" (slide 5); nine months in, loans were down 1.5%. Management said at the call that the loan-growth target may be challenging (23:32, AI transcript).

Finding 1 — Which line made profit grow

The nine-month income statement (MD&A Q3 2026, page 4, Figure 1):

Line9M26Change vs 9M259M25
Net interest income37,179−3.1%
Non-interest income13,683+25.7%
Operating expenses23,338+7.2%
Pre-provision operating profit27,524+0.2%27,476
Expected credit loss12,113−5.8%12,854
Profit before income tax15,412+5.4%14,622
Tax expense (income)−723−777
Profit for the period16,134+4.8%15,399
EPS (baht)0.18+12.5%0.16

Read it from the bottom. The tax line is negative in both years, so profit after tax sits above profit before tax. Above that, pre-provision profit barely moved (+0.2%); what lifted pre-tax profit was lower credit-loss provisions. (Profit attributable to equity holders is 16,139, the figure used on page 2.)

Non-interest income grew a quarter. Page 2 names part of the source:

TTB · FY2026 Q3: "In addition, investment gains, dividend income, and the FIDF subsidy under the "You Fight, We Help" program contributed to the improvement in other non-NII, supporting overall operating income growth in 9M26."

— MD&A Q3 2026, page 2 · original filing (SEC)

That line moves quarter to quarter: in Q3 2026 alone, other operating income was 1,090 against 1,935 in Q2 (−43.6%), and non-interest income was 4,023 (−20.8% quarter on quarter) (page 4).

Finding 2 — The tax benefit, read across years

Where the negative tax comes from is written on page 2 of the FY2023 MD&A:

TTB · FY2023: "In November 2023, TBCO (formerly Thanachart Bank (TBANK)) … has registered liquidation completion … The Bank had tax losses from investment in such company which can be utilized when liquidation process was completed. Tax benefit from the investment loss is recognized upon profit achieved in the period so the Bank had no corporate income tax expense in 2023. As of Dec 23, the remaining tax benefit amounting THB15.5 billion can be subsequently recognized within 2028. The recognition will not be on a straight-line basis…"

— MD&A FY2023, page 2 · original filing (SEC)

From then on, each MD&A reports the remaining balance on page 2. Laid out in one table (billion baht):

Quarter endRemainingQuarter endRemaining
Dec 202315.5Jun 20258.2
Mar 202414.1Sep 20256.9
Jun 202412.7Dec 20255.7
Sep 202411.7Mar 20264.7
Dec 202410.6Jun 20263.4
Mar 20259.4Sep 20262.0

Calculated by us, the amount used each period: 2024 = 15.5 − 10.6 = 4.9 · 2025 = 10.6 − 5.7 = 4.9 · 9M26 = 5.7 − 2.0 = 3.7 · Q3 2026 alone = 1.4.

Cross-check against the tax line. If the balance is what keeps tax low, the balance used should roughly equal the tax that would normally be paid plus the negative tax actually booked. Tax lines and pre-tax profit from the FY2024 and FY2025 MD&As (page 3), with a 20% rate — the rate management uses (below):

PeriodPre-tax profitTax line20% of pre-tax + negative tax (our arithmetic)Balance used
202419,976−1,0553,995 + 1,055 = 5,0504.9bn
202519,658−9813,932 + 981 = 4,9134.9bn
9M2615,412−7233,082 + 723 = 3,8053.7bn

The falling balance and the tax line tell the same story. (For 2023, the FY2024 MD&A shows a restated pre-tax profit of 17,681 and tax of −940; the FY2023 MD&A itself printed 17,482.)

Read it fairly: the balance does not explain every baht of the tax line. Deferred tax assets also rose, to 4,722 at September 2026 from 3,474 at December 2025 (page 11), and the documents do not split the negative tax between the tax-loss benefit and deferred tax. That split goes on the "do not say" list.

The company's own forward sentence is on slide 35 of the Q3 deck:

TTB · FY2026 Q3: "Looking ahead, with the tax shield set to expire in the coming quarters… This will help maintain EPS once the tax shield benefit rolls off."

— Opportunity Day Q3 2026 presentation, slide 35 · note on the slide: "Remaining tax benefits as of Sep-2026 = THB 2.0 billion to be recognized within 2028" · recording

Finding 3 — Opportunity Day: an investor asks for the number

April 2026 (Q1 Opportunity Day). At 27:48, with 4,700 million baht of benefit left, an investor asked what happens when it is gone. Management answered that under the scheme it ends in 2028, but the tax benefit would probably be used up around the second quarter of next year, 2027. At 28:17 management added that the bank would go back to paying tax at about 20% — on a profit level of 20,000 million, roughly 3–4 billion baht. (AI transcript, our translation; the 3–4 billion figure was clear in one of the two models.)

October 2026 (Q3 Opportunity Day). At 29:17, an investor laid out the arithmetic: the bank had been booking a tax benefit of about 1,000 million baht a year on pre-tax profit of about 20,000 million, so tax expense was low or negative at about 1,000 million; when that ends and corporate tax at 20% applies, around 4,000 million — so would net profit after tax be hit by roughly 4,000 to 5,000 million baht a year?

Management's answer, in three parts:

  1. At 29:56: the bank has a tax shield, and in a year it can take a tax credit of about 4,000; 2,000 million baht remains, which it expects to be used up in the first quarter of next year. (The speaker dated the start of the shield to Q4 2024 "if I remember correctly"; the FY2023 MD&A dates it to November 2023, with a balance at December 2023. I follow the document.)
  2. At 30:30: there is concern about an "earnings cliff" in 2027; the bank has several initiatives to keep EPS at a level close to where it is.
  3. At 31:06: assuming the fifth programme of 14,000 million baht completes with full subscription, taking those shares out comes to about 15–16%; the roughly 4,000 million of earnings that shrinks will shrink less than the buyback does, so EPS will not shrink as hard as the tax shield.

Put the numbers next to each other:

Who · whenAnnual effectWhen the benefit ends
Management, April 2026about 3–4bnaround Q2 2027
Investor, October 20264–5bn—
Management, October 2026about 4bnQ1 next year
Documents (balance used, 2024 and 2025)4.9bn"within 2028", not straight-line

How I read the gap — not an accusation: the investor's own framing explains it. About 4,000 is normal tax at 20% on about 20,000 of profit. The other roughly 1,000 is the negative tax line that also disappears. Both numbers can be correct; they answer slightly different questions.

Side axis — the buyback, and ING's stake

The fifth buyback. From TTB's SET announcement of 26 October 2026:

  • General offer at 2.60 baht a share, up to 5,384,713,624 shares (5.52%), 14,000.25 million baht.
  • Offer period 16–27 November 2026.
  • The 30-business-day average price used in the announcement (8 September – 21 October) was 2.96 baht; the offer price is "not more than 1.0 times book value per share".

Programmes one to four (Q3 slide 43 and the SET report of 12 June 2026): 5.1 / 6.3 / 0.37 / 9.2 billion baht for 2.76% / 3.17% / 0.17% / 4.19% of shares — 10.29% in total. Our arithmetic: 10.29% + 5.52% = 15.81% if the fifth fills, matching management's "about 15–16%". The offer price of 2.60 is about 12% below the 2.96 average.

Side by side — not a forecast. What the document numbers give when placed together (our arithmetic; assumes pre-tax profit stays at the 2025 level of 19,658 and a 20% tax rate; compared with the base before the buybacks; ignores the return forgone on the roughly 35,000 million baht spent, and ignores any growth):

CaseProfit changeShare countEPS change
Management's 4,000, fifth buyback fills−19.4%−15.81%about −4%
Documents' 4,913, fifth buyback fills−23.8%−15.81%about −10%
4,000, fifth buyback gets no shares−19.4%−10.29%about −10%
4,913, fifth buyback gets no shares−23.8%−10.29%about −15%

The first row is consistent with management's statement that EPS will not shrink as hard as the tax shield. The others show how much depends on two inputs the documents do not fix: the size of the tax effect, and how many shares are tendered. Nothing here is a view on whether any shareholder should tender.

ING's stake. Form 246-2 filings (voting-rights basis, as of each filing): 12 June 2026, 23.10% → 18.64%; 19 August 2026, 19.51% → 11.63%. TTB's clarification letter of 19 August 2026 says ING placed shares with institutional investors, about EUR 475 million, taking it from 19.5% to 11.6% of the shares excluding treasury shares (the letter is in Thai; our translation); that this was the shareholder's portfolio management, which the bank could not know in advance or take part in; and that it does not affect management of the bank. The Q3 slides (slide 41, as of 8 September 2026) show ING at 10.4% of total paid-up capital — the same holding on a different base, because the bank's own repurchased shares are 10.3% of paid-up capital. I state who sold; I draw no link between that and the buyback or the tax benefit.

What the documents say / what they do not

The documents say:

  1. In 9M26, profit after tax is higher than profit before tax because of a tax income of 723 million baht.
  2. Pre-provision operating profit barely grew (+0.2%); lower provisions lifted pre-tax profit.
  3. The remaining tax benefit is THB 2.0 billion, after falling 4.9 billion a year in 2024 and 2025.
  4. Three other banks paid roughly 18–20% of pre-tax profit in tax over the same period.
  5. Buybacks total 15.81% of shares if the fifth programme fills.

The documents do not say:

  1. How the negative tax splits between the tax-loss benefit and deferred tax.
  2. Which quarter the benefit actually ends. The MD&A says "within 2028"; management said Q1 next year.
  3. The effective tax rate after it ends.
  4. Whether the fifth programme fills — the offer is 2.60 baht against a 2.96 average.
  5. The new income meant to offset it. The slides speak of maintaining EPS; there is no figure.
  6. On what base management compared "earnings shrink less than the buyback": 4,000 on 20,000 is 20%, against 15–16% of shares.

Where to look next: the buyback result after 27 November 2026; the Q4 2026 MD&A — the remaining tax benefit (now 2.0) and the tax-expense line; and the reviewed Q3 2026 statements.

The answer

How much profit goes when the benefit ends? Management's figure is about 4,000 million baht a year; the documents' own pattern points to about 4.9 billion, because the negative tax line disappears along with the normal-rate saving — and the investor's question at Opportunity Day already contained that difference. How much can the buyback offset? If the fifth programme fills, 15.81% fewer shares; on our side-by-side arithmetic, EPS falls by about 4% using management's figure and about 10% using the documents' — and by more if the fifth programme gets no shares. The documents do not yet say which quarter the benefit ends, how many shares will be tendered, or how large the offsetting new income will be.

Traps in reading this set of documents

  • "Profit for the period" is not "profit to equity holders". 16,134 and 16,139 are both on page 4; page 2 uses the second. Pick one and say which.
  • Spoken dates drift. At the Q3 call, the start of the tax shield was dated to Q4 2024 "if I remember correctly"; the FY2023 MD&A says November 2023. When speech and filing disagree on a date, use the filing.
  • A shareholding percentage needs its base. ING is 11.6% of shares excluding treasury shares and 10.4% of total paid-up capital — the same stake. Text extraction of slide 41 even paired the labels wrongly (ING beside 11.6); I read the slide by eye.
  • Unreviewed statements. Every Q3 2026 figure here is from the unreviewed set. Re-check them when the reviewed statements are filed.

Frequently asked

Why is TTB's profit after tax higher than its profit before tax in 2026?+

In the first nine months of 2026, TTB's profit before income tax was 15,412 million baht and its tax line was an income of 723 million baht, so profit for the period was 16,134 million baht. The Q3 2026 MD&A (unreviewed statements) explains the background: TTB has tax losses from its investment in the former Thanachart Bank (TBCO), whose liquidation was registered in November 2023, and recognises that tax benefit as it earns profit.

How much tax benefit does TTB have left, and when does it run out?+

The Q3 2026 MD&A says THB 2.0 billion remained at the end of September 2026, to be recognised within 2028, not on a straight-line basis but subject to future net profit. The balance was THB 15.5 billion at December 2023, 10.6 billion at December 2024 and 5.7 billion at December 2025. At the Q3 2026 Opportunity Day, management said it expects the remainder to be used up around the first quarter of next year (AI transcript).

How much could TTB's profit fall when the tax benefit ends?+

The documents do not give a figure. At the Q3 2026 Opportunity Day, management referred to a tax credit of about 4,000 million baht a year. Our own arithmetic from the MD&A, assuming a 20% tax rate and pre-tax profit at the 2025 level, gives about 4,913 million baht: 20% normal tax plus the negative tax line of 981 million baht that would also disappear. These are not forecasts.

What is TTB's fifth share buyback in 2026?+

According to TTB's SET announcement of 26 October 2026, the fifth programme is a general offer at 2.60 baht a share for up to 5,384,713,624 shares (5.52%), about 14,000 million baht, with the offer period 16–27 November 2026. The 30-business-day average price used in the announcement was 2.96 baht. With programmes one to four (10.29%), the total would be 15.81% if the fifth fills — our arithmetic.

Did ING sell TTB shares in 2026?+

Form 246-2 filings show ING's voting-rights stake going from 23.10% to 18.64% on 12 June 2026 and from 19.51% to 11.63% on 19 August 2026. TTB's clarification letter of 19 August 2026 says ING placed shares with institutional investors, worth about EUR 475 million, as portfolio management by the shareholder, and that the bank could not know in advance or take part in the decision.
