What Is MD&A? How to Read Management's Discussion in a Thai 56-1 One Report
MD&A (Management Discussion and Analysis) is where a listed company's management explains, in its own words, why the results came out the way they did. In Thailand it is Part 1, Item 4 of Form 56-1 One Report, and it is also published with the quarterly financial statements. What is inside, where to find it, and what to read it against.
MD&A stands for Management Discussion and Analysis. It is the section where the management of a listed company explains, in its own words, why the results and the financial position came out the way they did. The financial statements say what happened; the MD&A says why.
In Thailand the annual MD&A is Part 1, Item 4 of Form 56-1 One Report, and companies also publish an MD&A alongside their quarterly financial statements. Both can be read free on the SEC's disclosure system.
What is inside
| Item | Contents | Use it for |
|---|---|---|
| 4.1 Analysis of operations and financial position | Management explains why revenue, costs and profit moved | The most important part — read it first |
| 4.2 Factors or events that may materially affect the business | What management sees coming | What management is worried about ahead of time |
| 4.3 Financial statement data and key ratios | Summary figures and ratios | Checking the explanation in 4.1 |
Why it matters: the same number, two different reasons
AJ · FY2025 Q2: "gross profit decreased by THB 97.45 million or 141.26% due to the average selling price declining more significantly than the decrease in costs YoY." — source filing at the SEC (page 3)
PTTEP · FY2025 Q1: "A decrease of 36 MMUSD or 7% from a net profit in Q1/2024, was primarily from lower average selling prices, together with higher depreciation, depletion and amortization, as well as higher operating expenses." — source filing at the SEC (page 4)
The first is a margin squeezed from the price side; the second is a capital-heavy cost structure. That information is not in the statement tables. It exists only in the words.
How to read it
- Start at 4.1, not at page one — let management name its own earnings driver.
- Read it against Item 2.2, risk factors — a risk written in Item 2 but absent from the MD&A has not materialised; one present in both is already in the numbers.
- Let the MD&A point you to the notes — open only the notes it cites.
- Compare several years — one year is a snapshot; several show whether management said the same thing before and followed through.

Reading one company is easy; reading the market is not
To find which companies wrote about the same thing — the minimum wage, the baht, receivables that will not be collected — opening one book at a time does not scale, and Ctrl+F misses a company that used different words (why). Boom Leverage Terminal indexes the MD&A and related filings of 926 Thai listed companies so the whole market can be searched by meaning at once, and every result quotes the filing with its link and page number.
Frequently asked
What does MD&A stand for?+
MD&A stands for Management Discussion and Analysis: the section where a listed company's management explains its operating results and financial position in its own words.
Where is the MD&A in a Thai Form 56-1 One Report?+
It is Part 1, Item 4, split into three sub-items: 4.1 analysis of operations and financial position, 4.2 factors or events that may materially affect the financial position or operations, and 4.3 financial statement data and key financial ratios.
How is the MD&A different from the financial statements?+
The financial statements say what happened in numbers; the MD&A says why. For example, that gross profit fell because the average selling price declined faster than costs, which is not visible in the statement tables.
Where can I download a Thai company's MD&A?+
MD&A filed with Thailand's SEC can be read free in the SEC's disclosure system (market.sec.or.th) under each company's financial reports, and the annual MD&A sits inside the Form 56-1 One Report, Part 1, Item 4.
What should the MD&A be read together with?+
Item 2.2, risk factors. A risk listed in Item 2 that never appears in the MD&A has not materialised; a risk that appears in both is already in the numbers.
