What Is Form 56-1 One Report? The 4 Parts, 9 Items, and Where to Start Reading
Form 56-1 One Report is the single annual book that merges the annual registration statement and the annual report of a Thai listed company. It must be filed within 3 months of the fiscal year-end. What is inside, how it replaced Forms 56-1 and 56-2, and a reading order that takes about half an hour.
Form 56-1 One Report is the annual registration statement and annual report that Thailand's SEC requires listed companies to produce, merged into one book: what used to be Form 56-1 (the annual registration statement) and Form 56-2 (the annual report). It must be filed within 3 months of the end of the accounting period (SET Investnow).
The format went market-wide in 2022 (InfoQuest), so the first books carrying the name cover fiscal year 2021 and were filed in early 2022.
"One Report" and "56-1" are the same document
The real cover reads "แบบแสดงรายการข้อมูลประจำปี/รายงานประจำปี 2568 แบบ 56-1 One Report" — one cover, both filings. There is no separate annual report to look for, and the MD&A is not a separate document either: it is Item 4 inside the book.
Why it outweighs a summary you read for free
Every 56-1 ends with a certification that the information is accurate, complete, not false and not misleading — and the directors sign it (example: The One Enterprise, FY2021). Named people are legally on the hook if the book misleads you.
The structure: 4 parts, 9 items, plus attachments
| Part | Item | What is inside |
|---|---|---|
| Part 1 Business operations and performance | 1. Structure and operations of the group | Policy · nature of the business · shareholding · capital · dividend policy |
| 2. Risk management | Risk policy · risk factors | |
| 3. Driving the business toward sustainability | ESG targets · stakeholders · environment · social | |
| 4. Management discussion and analysis (MD&A) | The heart of the book — see What is MD&A? | |
| 5. General and other material information | General information · legal disputes · secondary market | |
| Part 2 Corporate governance | 6. Corporate governance policy | Policy · code of conduct |
| 7. Governance structure | Board · sub-committees · executives · employees | |
| 8. Key governance activity | Board performance · audit committee report | |
| 9. Internal control and related-party transactions | Internal control · related-party transactions | |
| Part 3 Financial statements | — | Auditor's report · statements · notes |
| Part 4 Certification | — | Certification and director signatures |
| Attachments | — | Director and executive profiles · head of internal audit · assets and valuation · full governance policy, and more |
Two things most write-ups leave out: some books never print a "Part 4" label and simply put the certification at the back, and the number of attachments varies — one book may carry Attachments 1–4, another the full 1–6.
Where to start: 6 stops, about 35 minutes
- Part 4, certification (2 min) — who signed, and is the filing complete.
- Item 4.1, MD&A (15 min) — let management name its own earnings driver.
- Item 2.2, risk factors (10 min) — read against Item 4.1: in Item 2 but not in the MD&A = not yet live; in both = already happened.
- Item 5.3, legal disputes (3 min) — the shortest section, the costliest to skip.
- Item 9.2, related-party transactions (5 min) — where money flows to parties connected to the major shareholders (more).
- Notes to the financial statements — only the ones the MD&A cites.
