What Does Going Concern Mean in an Auditor's Report? Material Uncertainty (TSA 570) Explained
A going-concern paragraph means the auditor has significant doubt that the business can continue for at least 12 more months and is obliged to disclose it — it does not mean the company is going under. How to tell a real material-uncertainty paragraph from the boilerplate sentence every Thai auditor's report contains.
A going-concern paragraph — "material uncertainty related to going concern" — means the auditor has significant doubt that the business can continue for at least 12 more months, and the standard obliges them to disclose it in a separate paragraph.
It is not a death certificate. It means there is material uncertainty and the auditor has to tell you. It does not mean the company is going under.
The trap: a sentence every report contains
TSA 570 requires this sentence in the auditor's responsibilities paragraph at the end of every report:
"However, future events or conditions may cause the Group and the Company to cease to continue as a going concern."
It is template, not warning. Search the Thai phrase การดำเนินงานต่อเนื่อง on its own and you hit it in the filings of the cleanest companies in the market — in our own count, 96 rows of pure boilerplate once pulled 60 companies with clean opinions into the red-flag bucket.
To separate them, look for ความไม่แน่นอนที่มีสาระสำคัญ (material uncertainty) together with การดำเนินงานต่อเนื่อง, in the company's own paragraph — not the closing responsibilities text.
What a real paragraph looks like
AAV · FY2021 · auditor's report, p.199: "This indicates that there are material uncertainties which may raise substantial doubt about the Group's ability to continue as a going concern."
It can come with a harsher verdict: for SMK, FY2022, the auditor issued a Disclaimer of Opinion, and the Thai going-concern paragraph (p.81) states that total liabilities exceeded total assets by ฿30,488 million.
For scale: across 910 companies with auditor's reports for FY2021–FY2025 (index built 14 August 2026, counted 15 August 2026), 160 companies carried a real material-uncertainty paragraph, boilerplate excluded.
What to do when you find one
- Read what the uncertainty actually is — not hit sell.
- Check it is in the company's own paragraph, not the template.
- Go back three to five years — just started, running for years, or flagged once and clean again are three different stories.
- Read the opinion alongside it — see What is a Key Audit Matter? The 4 auditor's opinions.
